License Agreement

The University of Washington ("University") is making available ZPL compiler binary code ("ZPL Compiler") and ZPL Libraries in binary code ("ZPL Libraries", collectively with the ZPL Compiler the "ZPL Software") to you "End User" at no charge. In downloading or using the ZPL Software the End User agrees to the following:

Grant. The University grants and the End User accepts a non-exclusive, non-transferable, royalty-free, two year license to display, perform, and otherwise use the Software for non commercial purposes. The End User may link the ZPL Libraries into compiled code and may modify the ZPL Libraries to the extent that such modifications are necessary to allow compilation. The University acknowledges that the End User has specific rights under Federal Copyright Law to create additional copies of the software as necessary for archival purposes and to modify the software as necessary to allow it to operate on the End User's equipment. The University expressly reserves to itself the right to reproduce and distribute the ZPL Software, and to create derivative works based on the Software.

Proprietary Notices. End User agrees to respect and not to remove, obliterate, or cancel from view any copyright, trademark, confidentiality or other proprietary notice, mark, or legend appearing on any of the ZPL Software or output generated by the ZPL Software, and to reproduce and include same on each copy of the ZPL Software.

No Reverse Engineering. End User agrees not to modify, reverse engineer, disassemble, or decompile the ZPL Software, or any portion thereof.

Ownership. End User further acknowledges that all copies of the Software in any form provided by University or made by End User are the sole property of University and/or its suppliers. End User shall not have any right, title, or interest to any such ZPL Software or copies thereof except as provided in this Agreement, and further shall secure and protect all ZPL Software and Documentation consistent with maintenance of University's proprietary rights therein.

Disclaimer of Warranty. The University warrants that it has the right to grant the license specified hereunder. THE EXPRESS WARRANTY STATED IMMEDIATELY ABOVE IS GIVEN IN LIEU OF ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The University makes no representation that the ZPL Software does not infringe third party patent, copyright, trademark, or other proprietary rights. The University does not warrant that the operation of the program will be uninterrupted or error-free.

ZPL Software provided AS IS. The ZPL Software is experimental in nature and is supplied AS IS, without obligation by the University to provide accompanying services or support.

Limitation of Liability. The End User agrees that the University shall not be liable for any costs, damages, fees, or other liability, nor for any direct, indirect, special, incidental, or consequential damages with respect to any claim by the End User or any third party on account of or arising from this Agreement or use of (or inability to use) any portion of the ZPL Software.
